1. Acceptance of terms
These Terms of Use ("Terms") govern your access to and use of the Verilynq payment platform, a product of Blue Sage Payments ("Verilynq," "we," "us," or "our"), including our website, applications, and related services (collectively, the "Services"). By accessing or using the Services, whether as a customer making a payment or a merchant accepting payments, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. Merchants must be a legally formed business entity in good standing and, where applicable, hold any licenses required to operate in their industry.
3. Description of services
Verilynq provides ACH-based payment origination and processing infrastructure that allows customers to pay participating merchants directly from a linked bank account, and allows merchants to accept and receive those payments. Verilynq is not a bank; funds are processed through a sponsoring, FDIC-member financial institution and originated in accordance with Nacha operating rules.
4. Accounts and bank linking
To use the Services, you may be required to link a bank account through our banking-connection partner, Plaid. By linking your account, you authorize Verilynq and Plaid to access your account information solely to facilitate payment initiation and verification. You are responsible for maintaining the accuracy of your account information and for all activity that occurs through your linked account.
5. Fees
Verilynq may charge transaction, processing, or account fees as disclosed to you at the time of setup or transaction. Merchants are responsible for any fees associated with their merchant account as set out in their Merchant Participation Agreement. Fees are subject to change with notice as described in Section 12.
6. Merchant obligations
Merchants agree to comply with all applicable laws, Nacha operating rules, and our acceptable use policies, including maintaining accurate transaction records, honoring refund and cancellation requests in accordance with applicable law, and cooperating with any compliance, risk, or fraud review conducted by Verilynq or its sponsoring financial institution.
7. Prohibited use
You may not use the Services for any unlawful purpose, including but not limited to money laundering, financing of terrorism, fraud, or transactions involving goods or services prohibited under applicable law or Nacha rules. Verilynq reserves the right to decline, delay, or reverse any transaction it reasonably believes violates these Terms or applicable law.
8. Errors, disputes and refunds
If you believe a transaction was made in error or without authorization, contact us promptly using the information in Section 13. We will investigate reported errors in accordance with applicable law and Nacha's error-resolution timelines. Refunds, where applicable, are processed back to the original payment method.
9. Limitation of liability
To the fullest extent permitted by law, Verilynq and its sponsoring financial institution shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by you to Verilynq in the twelve (12) months preceding the claim.
10. Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or Nacha operating rules, or if required by our sponsoring financial institution or applicable regulators.
11. Dispute resolution and arbitration
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, such disputes shall be resolved through binding arbitration on an individual basis, and not as a class action, in accordance with the rules of a mutually agreed arbitration body, except where prohibited by applicable law.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated to you through the Services or by email prior to taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Contact
Questions about these Terms can be directed to support@verilynq.com, or by mail to Verilynq, 10777 Barkley St, Overland Park, KS 66211.
Appendix A
ACH Closed-Loop Payment System Terms
Effective Date: March 18, 2026
These terms govern the use of the closed-loop payment system operated by Verilynq. By activating or using a card issued through the system ("Card"), the cardholder agrees to be bound by these terms.
1. System description
The system allows approved users to make purchases at participating merchants using a proprietary card. Transactions are authorized at merchant terminals and settled via ACH debit to the customer's designated bank account.
2. ACH debit authorization
By enrolling in the system and linking a bank account, you authorize Verilynq to initiate ACH debit entries for:
- Authorized purchases and transactions
- System fees and applicable adjustments
- Dispute resolutions and reversals
3. Transaction authorization
When a card transaction occurs, the system may place a temporary authorization hold on the account. Final settlement typically occurs within 1–3 business days via the ACH network.
4. Returned payments
If an ACH debit is returned for insufficient funds or other reasons, Verilynq may:
- Reinitiate the debit entry up to the maximum number of times allowed by Nacha rules
- Immediately suspend the associated Card and system access
- Charge applicable returned payment fees as permitted by state law
5. User responsibilities
Users are strictly required to:
- Maintain sufficient funds in the linked account to cover all transactions
- Protect card credentials and unique identifiers from unauthorized access
- Notify Verilynq immediately if the card is lost, stolen, or compromised
6. Transaction limits
Verilynq may, at its sole discretion, establish daily spending limits, transaction frequency caps, or maximum single-transaction amounts to manage risk and security.
7. Merchant participation
Cards are proprietary and may only be used with merchants specifically approved by and participating in the Verilynq network.
8. Errors and disputes
Customers must report suspected errors or unauthorized transactions within 60 days of the transaction posting. Failure to report within this timeframe may limit your ability to recover funds.
9. Service availability
Verilynq reserves the right to suspend or modify services without notice for maintenance, security purposes, or in response to suspicious activity.
10. Governing law
These terms are governed by the laws of the State of Kansas, without regard to conflict of law principles.
